Terms of Service

By creating an account or using MandoScribe, you confirm that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. By using the Service, you also acknowledge that you have read and understood our Privacy Policy.

MandoScribe is a software-as-a-service (SaaS) application that provides mandolin songwriting tools, including lead sheet editing, chord diagrams, song storage and sharing features, a community song library, and AI-powered lyric and chord suggestions. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Unless we expressly authorize otherwise in writing, each natural person may maintain only one account. Creating, operating, or attempting to operate multiple accounts for the same individual is prohibited.

Merchant of Record: All payments for MandoScribe subscriptions are processed by Lemon Squeezy, which acts as our Merchant of Record. This means Lemon Squeezy handles all payment processing, VAT/tax collection, invoicing, and refunds on our behalf. By subscribing, you also agree to Lemon Squeezy's Terms of Service.

• Subscription fees are billed in advance on a monthly or annual basis.
• You may cancel your subscription at any time; access continues until the end of the billing period.
• The thirty (30) day money-back guarantee applies only once per account, only to the initial paid subscription purchase for that account, and only if the refund request is made within thirty (30) days after the start of that initial paid subscription term. If a subscription is cancelled, allowed to lapse, reactivated, resumed, renewed, or a new subscription is later purchased for the same account or substantially the same user, the thirty (30) day money-back guarantee does not restart, renew, or revive. For the avoidance of doubt, the guarantee is intended solely as a one-time introductory refund right during the first thirty (30) days of the first paid subscription for a single account. This guarantee does not apply, and no refunds will be provided, if your account has been suspended or terminated due to a violation of these Terms.
• If your account is suspended or terminated for violation of these Terms, we may cancel any active paid subscription associated with that account so that future renewals do not occur.
• Cancellation of a subscription stops future renewals, but does not automatically create a prorated refund for any unused portion of the then-current billing period unless required by applicable law or covered by the thirty (30) day money-back guarantee above.

Important Disclaimer: The AI-powered "Smart Co-Writer" feature, including lyric suggestions and chord recommendations, is provided "as-is" without warranty of any kind.

• AI-generated suggestions may not be original and could inadvertently resemble existing copyrighted works.
• We are not responsible for any copyright infringement claims arising from the use of AI-generated content.
• You are solely responsible for reviewing, modifying, and ensuring the originality of any content you create using our AI features.
• AI suggestions are generated using Google Gemini and are subject to Google's usage policies.
• Any intellectual property rights in the content generated by the AI features during your session are assigned to you, subject to your compliance with these Terms.

You retain full ownership of all songs, lyrics, and musical compositions you create or upload using MandoScribe. We claim no ownership over your intellectual property. We require a license to store, display, and reproduce your content solely as necessary to provide the Service to you (e.g., saving your songs to our database, displaying them on your screen, or generating backups).

• Public Sharing: If you use the "Share" feature to create a public link for your content, you grant us a license to display that content to anyone with the link. You represent that you have the right to share such content publicly and that it does not violate any third-party rights.
• Copyright & User Responsibility: MandoScribe allows users to create, upload, store, share, and discover mandolin sheet music and related song content, including through public sharing links and the song library. Unless we expressly identify content as provided by Celestial Interactive, content made available through those features is submitted by users, not by us. We may host, store, display, index, organize, review, feature, moderate, or remove user-submitted content in order to operate, secure, and administer the Service, but you remain solely responsible for the content you create, input, upload, and share. You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for any material (including lyrics, chord progressions, and arrangements) you enter into the Service. To the fullest extent permitted by law, Celestial Interactive disclaims liability for infringing content submitted by users.
• Restricted Use of Copyrighted Material: You may not upload, share, print, distribute, publicly display, or otherwise use through the Service any sheet music, lyrics, arrangements, tablature, recordings, or other material protected by a third party's copyright unless you have obtained all rights, licenses, consents, and permissions required for that use. Nothing in these Terms or the Service grants you permission to use copyrighted material without authorization from the applicable rightsholder. We may remove or disable access to allegedly infringing material upon notice or otherwise upon becoming aware of a potential infringement issue, and we maintain a policy that provides for the termination in appropriate circumstances of subscribers and account holders who are repeat infringers.
• Copyright Complaints (DMCA): We respect the intellectual property rights of others. If you believe that material available through MandoScribe infringes your copyright, please send a written notice to our designated agent with the information required by applicable law. • Counter-Notices: If you believe your content was removed or disabled by mistake or misidentification, you may submit a counter-notification to our designated agent. If we receive a valid counter-notification, we may restore the material as permitted or required by applicable law.
• Celestial Interactive Property: The MandoScribe platform, including its source code, interface design, "MandoScribe" name, logo, and all related trademarks, are the exclusive property of Celestial Interactive. You may not use our trademarks, logos, or branding without our prior written permission.

You agree not to:

• Use the service for any unlawful purpose or to violate any laws.
• Create, control, or use multiple accounts for the same person, or assist another person in doing so, without our prior written authorization.
• Evade, attempt to evade, or assist another person in evading a suspension, termination, restriction, or ban, including by creating, accessing, or using another account.
• Provide false, misleading, fraudulent, or third-party identity, account, billing, or payment information in order to obtain access to the service or maintain an account.
• Create, upload, store, share, distribute, publicly display, or otherwise use copyrighted material through the service without authorization from the applicable copyright holder or other rightsholder.
• Attempt to reverse-engineer, decompile, or disassemble the service.
• Interfere with or disrupt the integrity or performance of the service.
• Upload malicious code or attempt to gain unauthorized access to our systems.
• Resell, redistribute, or sublicense access to the service without authorization.

The Service is provided on an "as-is" and "as available" basis. Celestial Interactive makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, or materials included therein. To the full extent permissible by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, Celestial Interactive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the service. Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Without limiting the foregoing, we maintain a policy that provides for the termination in appropriate circumstances of subscribers and account holders who are repeat infringers. Creating multiple accounts for the same person is a material violation of these Terms and may result in a permanent or "hard" ban. A hard ban may include disabling or blocking associated accounts and restricting future access using information and signals reasonably available to us, including device identifiers, email addresses, IP addresses, payment method or billing-related identifiers supplied through our payment processor, and related account or technical markers, to the extent permitted by applicable law. Upon suspension or termination, your right to use the service may immediately cease, even if a paid subscription remains in a cancelled grace period through the end of the current billing cycle. If we suspend or terminate your account for a Terms violation, we may also cancel any active paid subscription tied to the account so that it will not renew. No automatic refund or prorated refund will be provided solely because an account was suspended or terminated for violation of these Terms, and the thirty (30) day money-back guarantee shall not apply in such cases. You may request deletion of your account and data by contacting us.

These Terms are governed by the laws of Japan. Any disputes arising from these Terms shall be resolved in the courts of Nagoya, Japan, unless otherwise required by applicable consumer protection laws in your jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the service after such changes constitutes acceptance of the new Terms.
